1. Application and Definitions
1.1 These terms cover every product and service supplied by Agence 25.
1.2 Definitions
- “Agence 25”: the company located at Grünhaldenstrasse 37, 8052 Zürich.
- “Client”: any person or entity purchasing services from Agence 25.
- “Services”: web design, development, hosting, digital marketing, consulting, and any related activity.
- “Deliverables”: outputs listed in an agreed project scope.
- “Business Day”: Monday – Friday, 09:00 – 18:00 CET, excluding Swiss public holidays.
- “Contract”: the signed offer, these CGV, and any annex.
- “Service Partner”: any third party engaged by Agence 25 to carry out parts of the Services.
- “Third-Party Platform”: external site or tool where Client content may appear.
- “Deliverable Duration”: the period during which the Client may use a Deliverable, as stated in the offer.
- “End of Contract”: the date a Contract expires or is terminated.
- “Force Majeure”: events beyond reasonable control, including natural disasters, war, strikes, pandemics, or cyber-attacks.
2. Contract Start, Term, Renewal, Termination
- 2.1 A Contract starts when the Client signs an offer, pays an invoice, or begins using the Services.
- 2.2 Unless the offer states otherwise, project Contracts run until project completion. Subscription Contracts renew for the same period unless either party gives written notice at least 30 calendar days before the renewal date. Price changes may apply on renewal; Agence 25 will advise at least 30 days in advance.
- 2.3 Agence 25 may end the Contract with immediate effect for valid reason, such as non-payment or illegal use of the Services.
- 2.4 The Client may cancel by email or registered post. Early cancellation triggers payment of 75 percent of fees that would fall due until the planned End of Contract.
- 2.5 If any invoice remains unpaid 30 days after its due date, Agence 25 may pause Services without notice. A reactivation fee of CHF 100 applies.
3. Pricing and Payment Terms
- 3.1 All prices are in CHF and exclude VAT unless noted.
- 3.2 Standard project payment schedule: 50 percent deposit, 25 percent on design sign-off, 25 percent before final hand-over.
- 3.3 Invoices are payable within 30 calendar days.
- 3.4 Late payment: 5 percent monthly interest, plus CHF 15 per reminder.
4. Client Duties and Timeline Management
- 4.1 The Client supplies all required material and feedback within three to seven Business Days.
- 4.2 A single contact person coordinates feedback with Agence 25 in writing.
- 4.3 Delays: first delay yields a written note; second delay adds a 15 percent rush fee to the affected milestone; third delay adds 20 percent.
5. Ownership, Licensing, Portfolio Rights
- 5.1 Ownership of Deliverables transfers to the Client only after full payment.
- 5.2 Frameworks, templates, and plugins created prior to or outside the project stay the property of Agence 25.
- 5.3 Finished work may appear in the Agence 25 portfolio and marketing material unless the Client asks in writing not to.
6. Intellectual Property and Legal Guarantees
- 6.1 The Client confirms they hold all rights for content they supply. Agence 25 accepts no responsibility for third-party claims arising from Client content.
- 6.2 Services are provided with reasonable skill. Compatibility with every third-party tool or platform is not guaranteed.
7. Confidentiality and Non-Solicitation
- 7.1 Each party keeps project and business information private.
- 7.2 For 12 months after project completion the Client will not hire or try to hire Agence 25 staff or contractors. Breach triggers a CHF 20 000 fee.
8. Project Content and External Platforms
- 8.1 Where the Service includes publication on a Third-Party Platform, the Client accepts that the platform controls final display, ranking, or removal of content.
- 8.2 The Client may need to open or link an account and grant temporary admin rights to Agence 25 for setup.
9. Data Storage, Backup, Export, Security
- 9.1 Project data is stored for six months after final delivery without extra charge. After that, storage is CHF 70 per month or CHF 800 per year.
- 9.2 The Client must export or request export of their data at least 10 Business Days before the End of Contract. Agence 25 deletes data 30 days after that date unless extended storage is active.
- 9.3 During storage, data sits on servers with encryption and restricted access.
10. Compliance and Disclaimers
- 10.1 Agence 25 complies with Swiss data law and the EU GDPR. Our Privacy Policy, Cookies Policy, and Disclaimer form part of these terms.
- 10.2 The Client is responsible for content accuracy, trademark rights, accessibility rules, and any marketing messages sent via the Services.
- 10.3 Agence 25 offers no legal advice. Clients who need legal checks for domains, trademarks, or regulatory approval must use qualified counsel.
11. Limitation of Liability
- 11.1 Agence 25 is not liable for indirect or consequential loss, lost profit, data loss, or issues caused by Service Partners, Third-Party Platforms, or Force Majeure.
- 11.2 Where liability cannot be excluded, it is capped at 20 percent of the fees paid under the specific Contract.
12. Force Majeure
- 12.1 If a Force Majeure event prevents either party from meeting duties, that duty is paused while the event lasts. The affected party will advise the other within five Business Days.
- 12.2 If the event lasts more than 30 days, either party may close the Contract with written notice. Fees for completed work remain payable.
13. Notice and Variations
- 13.1 Agence 25 may change these terms. Clients will receive notice by email at least 30 days before changes take effect.
- 13.2 If the Client objects, they may end the Contract with written notice within that 30-day period. Continued use of the Services after the effective date means acceptance.
14. Dispute Resolution
- 14.1 Parties will try good-faith mediation first. A mediator will be chosen within 15 Business Days of a written dispute notice.
- 14.2 If mediation fails, the dispute may proceed to court as set out below.
15. Governing Law and Venue
Swiss law applies. The exclusive venue is the competent court in Zürich, Switzerland.
16. Final Clauses
- 16.1 Changes or addenda must be in writing and signed by both parties.
- 16.2 If a clause is invalid, the remainder stays valid. The invalid clause will be replaced by one that meets legal rules and best reflects the original intent.
- 16.3 Agence 25 may assign rights and duties to a Service Partner. The Client may not assign the Contract without written consent from Agence 25.
- 16.4 Language versions: if translations exist, the English text prevails in case of conflict unless another version is stated as controlling.
